Terms of Engagement

These Terms of Engagement (“Terms”) outline how POM LogistX works with clients and what you can expect when engaging with our services. Our goal is clarity, alignment, and mutual understanding from the start.

1. Nature of Services

POM LogistX provides advisory, educational, and strategic support services related to logistics operations, risk awareness, compliance preparedness, and operational infrastructure design.

We do not provide:

  • Legal advice or legal representation

  • Regulatory representation before any authority

  • Dispatching, freight brokerage, or transportation services

  • Financial, tax, or insurance underwriting services

All insights, frameworks, and recommendations are informational and advisory in nature.

2. No Legal, Regulatory, or Fiduciary Relationship

Engaging with POM LogistX does not create:

  • An attorney-client relationship

  • A regulatory representative relationship

  • A fiduciary relationship

Clients are responsible for consulting with appropriate licensed professionals (legal counsel, regulatory advisors, accountants, insurers, etc.) before making final decisions based on our guidance.

3. Client Responsibility

Clients remain fully responsible for:

  • Business decisions and implementation

  • Compliance with applicable laws and regulations

  • Operational execution and internal management

POM LogistX does not guarantee outcomes, approvals, compliance status, or protection from audits, enforcement actions, or disputes.

Our role is to identify risk, provide clarity, and support informed decision-making.

4. Scope of Engagement

The scope of services will be defined through:

  • Written proposals

  • Service descriptions

  • Engagement confirmations

Any work outside the agreed scope requires separate discussion and approval.

5. Confidentiality

POM LogistX treats all client information as confidential and will not knowingly disclose proprietary or sensitive information without consent, except as required by law.

Clients are responsible for safeguarding their own data and internal documentation shared during the engagement.

6. No Guarantees or Warranties

While we apply professional judgment and industry knowledge, POM LogistX makes no guarantees regarding:

  • Regulatory outcomes

  • Audit results

  • Business performance

  • Risk elimination

Risk can be reduced, managed, and prepared for — but never fully eliminated.

7. Limitation of Liability

To the fullest extent permitted by law, POM LogistX shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Losses resulting from decisions made based on advisory guidance

  • Actions taken by third parties

Our liability, if any, is limited to the fees paid for the specific services rendered.

8. Independent Relationship

POM LogistX operates as an independent advisory service. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

9. Updates to These Terms

These Terms may be updated periodically to reflect changes in services or business practices. Continued use of our services constitutes acceptance of the current Terms.

10. Acknowledgment

By engaging with POM LogistX, submitting a form, or booking a consultation, you acknowledge that you have read, understood, and agree to these Terms of Engagement.
